Terms of Service for gmCalSync

Welcome to gmCalSync ("we," "us," "our," or the "Service"). gmCalSync provides an automated calendar synchronization service that allows users to generate and subscribe to private iCalendar (.ics) links. These links sync events from GroupMe via the GroupMe API to third-party applications like Google Calendar, Apple Calendar, and Microsoft Outlook.

By accessing or using our Service via https://gmcalsync.com ("Website"), you agree to these Terms of Service ("Terms").

1. Acceptance of Terms

By creating an account or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are using the Service on behalf of an entity, you represent that you have the authority to bind that entity to these Terms.

2. Eligibility

You must be at least 18 years old to use the Service. By using gmCalSync, you represent and warrant that you have the full right, power, and authority to enter into this agreement.

3. Account & Security

To use the Service, you must connect your GroupMe account. You agree to:

  • Provide accurate and complete information.
  • Maintain the security of your login credentials.
  • Promptly notify us of any unauthorized use of your account.

Responsibility: You are solely responsible for all activity occurring under your account and for the security of the unique iCal links generated by the Service. Anyone with access to your private iCal link can view your calendar data.

4. Subscription & Billing

gmCalSync is a subscription-based service.

Billing: Fees are charged in advance on a recurring basis (monthly or annually).

Payments: Payments are processed via our third-party payment processor (e.g., Stripe). By subscribing, you authorize us to charge your provided payment method.

Refunds: All fees are non-refundable. We do not provide credits or refunds for partial subscription periods or unused accounts.

Cancellation: You may cancel at any time through your account settings. Your access will continue until the end of your current paid billing cycle.

4.1 Group Plans

A group plan is a separate subscription that provides calendar access to the members of a single GroupMe group. Each group requires its own group plan, with its own price tier, member limit, join link, and billing.

Owner: The person who purchases a group plan is its owner and is solely responsible for its billing. Only the owner can change the plan's size, update payment details, or cancel it.

Administrators: An owner may invite other people to help administer a group plan. Administrators can manage the plan's members and settings but cannot change its billing. Administrators can see the email address of every person who has joined that group's calendar, together with their subscription status, and can remove or block them. By joining a group calendar you agree that the address you provide is disclosed to the administrators of that plan. Administrators may add and remove other administrators; the owner cannot be removed.

Lapsed plans and change of owner: If a group plan is cancelled or expires, any of its administrators may resubscribe it. Whoever resubscribes becomes the new owner and is billed from then on; the previous owner keeps administrator access but is no longer billed. Resubscribing continues the same plan: the group's join link stays the same and existing member calendars resume receiving events without anyone having to join again.

Calendar updates: Events for a group plan are retrieved from GroupMe using the GroupMe connection of the plan's owner or one of its administrators. If no one who manages the plan has a working GroupMe connection, member calendars will stop receiving new events until one is restored.

5. Third-Party Services (GroupMe & Calendar Providers)

Our Service depends heavily on the GroupMe API and third-party calendar providers (Google, Apple, Microsoft).

API Dependency: We do not own or control GroupMe. If GroupMe modifies its API, limits access, or terminates its service, gmCalSync may be unable to provide certain features. We are not liable for any service interruptions caused by GroupMe.

Compliance: You agree to comply with the GroupMe Terms of Service while using our application.

Data Sync: While we strive for real-time updates, we do not guarantee that syncs will be instantaneous, as refresh rates are often controlled by your calendar provider (e.g., Google Calendar may only refresh ICS links every 12–24 hours).

6. Prohibited Conduct

You agree not to:

  • Reverse engineer, decompile, or attempt to extract the source code of the Service.
  • Use the Service to scrape data or bypass GroupMe's rate limits.
  • Use the Service for any illegal or unauthorized purpose.
  • Share your private iCal links in a public forum or with unauthorized third parties.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GMCALSYNC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR USE. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

8. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." WE EXPRESSLY DISCLAIM ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING THE WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE OR UNINTERRUPTED.

9. MANDATORY ARBITRATION AND VENUE

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.

9.1 Binding Arbitration

Any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be settled by binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules.

9.2 Venue

The seat of arbitration shall be Tarrant County, Texas. Judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction thereof.

9.3 Class Action Waiver

You and gmCalSync agree that any proceedings to resolve or litigate any dispute will be conducted solely on an individual basis. Neither you nor gmCalSync will seek to have any dispute heard as a class action, representative action, or in any other proceeding in which either party acts or proposes to act in a representative capacity.

9.4 Governing Law

These Terms and any disputes hereunder shall be governed by the laws of the State of Texas, without regard to its conflict of law principles.

10. Termination

We reserve the right to suspend or terminate your account and access to the Service at our sole discretion, without notice, for any violation of these Terms or for conduct that we deem harmful to the Service or other users.

11. Changes to Terms

We may update these Terms from time to time. We will notify you of any material changes by posting the new Terms on the Website and updating the "Effective Date." Your continued use of the Service after such changes constitutes acceptance of the new Terms.
